Terms of Service

Please read these terms carefully before using our services.

1. Service Scope

In Plain English: We build, host, and manage your website so you don't have to. This includes the technical setup, branding, and ongoing updates described in your plan.

Canyon Pass Partners ("we", "us", "Provider") agrees to provide the Client ("you") with the services described in your selected subscription package. This typically includes:

  • Website configuration, branding customization, and deployment.
  • Hosting and SSL certificate management.
  • Google Business Profile optimization (if applicable to your plan).
  • Ongoing technical maintenance and content updates as requested.

The Provider reserves the right to refuse service to anyone for any reason at any time.

2. Payments & Subscription

In Plain English: You pay a recurring fee to keep your site live and managed. Payments are automatic via Stripe. If a payment fails, we'll pause the service until it's fixed.

Billing: Services are billed on a recurring subscription basis (monthly or annually). Payment is due at the beginning of each billing cycle.

Authorization: By providing a payment method, you authorize the Provider to charge the applicable subscription fees to that method via our secure payment processor (Stripe).

Late Payments: If a payment fails, we will attempt to contact you. If payment is not received within 14 days of the due date, the Provider reserves the right to suspend your website and services until the account is brought current.

3. Cancellation & Termination

In Plain English: You can cancel anytime by emailing us. Once you cancel, the site stays live until the end of the month you paid for, then it goes offline.

Cancellation by Client: You may cancel your subscription at any time by emailing contact@canyonpasspartners.com. There are no cancellation fees.

Effect of Cancellation: Your website will remain active until the end of your current paid billing period. After this period, the website will be taken offline and services will cease. The Provider does not provide pro-rated refunds for partial months.

Termination by Provider: We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

4. Intellectual Property

In Plain English: You own your content (photos, text). We own the code and the design template. You are "renting" the tech from us. If you leave, you take your photos/text, but the site code stays with us.

Client Content: You retain full ownership of all text, images, logos, and branding assets you provide to us ("Client Content"). You grant the Provider a license to use these materials for the purpose of building and marketing your website.

Provider Property: The underlying code, HTML, CSS, website template, design structure, and any custom software developed by Canyon Pass Partners remain our exclusive property. Your subscription grants you a non-exclusive, non-transferable license to use this design while your subscription is active.

Domain Names: If you purchased your own domain, you retain full ownership. If the Provider purchased a domain on your behalf, we will transfer ownership to you upon request, provided your account is in good standing.

5. Client Responsibilities

In Plain English: You promise that the photos and text you give us are actually yours to use, and that your business is legitimate.

The Client represents and warrants that they own or have the necessary rights/permissions to use all content (text, photos, trademarks) provided to the Provider. You agree to indemnify Canyon Pass Partners against any claims arising from the content you provide.

6. Limitation of Liability

In Plain English: We do our best to keep your site up 24/7, but the internet is unpredictable. We aren't liable for lost profits if the server crashes or Google changes its algorithm.

In no event shall Canyon Pass Partners, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; or (ii) any unauthorized access to or use of our secure servers.

Services are provided on an "AS IS" and "AS AVAILABLE" basis.
